These Terms of Service (“Terms”) govern your access to and use of the Anthagen website, services, platform, and related offerings (collectively, the “Services”). Anthagen is a brand operated by Sparrow Engineering Ventures Private Limited (“Sparrow Engineering Ventures,” “we,” “us,” or “our”).

If you create an account or otherwise receive access credentials for any Anthagen service, you are responsible for maintaining the confidentiality of those credentials and for activities conducted through your account.

You agree to notify us promptly if you become aware of unauthorized access, misuse of your account, or any security issue relating to your use of the Services.

3. Business Data and Data Opportunities

Anthagen helps businesses identify potential value in data generated through their operations and facilitates connections between businesses and companies seeking relevant real-world data for AI and related applications.

Providing information to Anthagen does not automatically create an obligation for Anthagen to purchase, license, sell, distribute, or otherwise commercialize that information.

You remain responsible for ensuring that you have the necessary rights, permissions, consents, and authority to provide any business data, documentation, records, or other information submitted to Anthagen.

Any commercial arrangement involving the sharing, licensing, use, or commercialization of data will be subject to the specific terms agreed between the relevant parties.

4. Intellectual Property

All content and technology made available through the Services — including but not limited to software, interfaces, website design, copy, graphics, visuals, trademarks, branding, processes, and other materials — are owned by Sparrow Engineering Ventures Private Limited, Anthagen, or their respective licensors and are protected by applicable intellectual property laws.

Except as expressly permitted by us or applicable law, you may not reproduce, distribute, modify, publicly display, commercially exploit, reverse engineer, or otherwise reuse any part of the Services without prior written permission.

Nothing in these Terms transfers ownership of any intellectual property from you to Anthagen or from Anthagen to you.

Anthagen does not guarantee that:

  • A particular data asset will have commercial value

  • A potential buyer or partner will enter into an agreement

  • A proposed partnership will result in revenue

  • A particular commercial arrangement will be completed

  • Any estimate, assessment, or indication of potential data value will result in a specific financial return

Any decision to share data, enter into a commercial agreement, license data, or otherwise proceed with a potential partnership remains the responsibility of the relevant parties.

7. Third-Party Services

The Services may reference, integrate with, or depend on third-party platforms, tools, technology, or services.

We are not responsible for the availability, functionality, security, or policies of third-party services. Your use of third-party services may be subject to their own terms, conditions, and privacy policies.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Sparrow Engineering Ventures Private Limited, Anthagen, and their respective directors, employees, contractors, partners, and service providers will not be liable for indirect, incidental, consequential, special, or punitive damages arising from or relating to your use of, or inability to use, the Services.

This includes, where permitted by law, losses relating to:

  • Lost revenue, profits, business opportunities, or anticipated savings

Nothing in these Terms excludes or limits liability to the extent that such liability cannot lawfully be excluded or limited under applicable law.

9. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless Sparrow Engineering Ventures Private Limited, Anthagen, and their directors, employees, contractors, partners, and service providers from claims, liabilities, damages, losses, costs, and expenses arising out of or relating to:

  • Your violation of applicable laws or regulations

  • Your infringement of any third-party rights

  • Your submission or sharing of information or data without the necessary rights, permissions, or authority

10. Governing Law and Jurisdiction

These Terms are governed by and interpreted in accordance with the laws of India.

Subject to any applicable mandatory provisions of law, the courts having appropriate jurisdiction over the registered office of Sparrow Engineering Ventures Private Limited shall have jurisdiction over disputes arising out of or relating to these Terms or your use of the Services.
